These Terms and Conditions are entered into by and between Company and the client for the provision of digital marketing services. By engaging our services, the Client agrees to be bound by the following terms and conditions:
Services Provided
Service Provider agrees to provide digital marketing services as outlined in the agreed-upon proposal or scope of work.
Services may include but are not limited to:
– Social media management
– Search engine optimization (SEO)
– Pay-per-click (PPC) advertising
– Content creation
– Email marketing
– Website optimization
– Analytics and reporting
Client Responsibilities
Client agrees to provide timely access to all necessary accounts, platforms, and materials required for the delivery of services.
Client will provide accurate and up-to-date information required for campaign setup and optimization.
Client is responsible for obtaining any necessary permissions for the use of copyrighted materials in marketing campaigns.
Payment
Client agrees to pay Service Provider the agreed-upon fees for the services rendered.
Payment terms will be as outlined in the proposal or agreement. Late payments may incur additional fees or suspension of services.
All fees are non-refundable once services have been rendered.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the term of this Agreement.
This includes but is not limited to campaign strategies, business plans, customer data, and financial information.
Ownership
All intellectual property developed or provided by Service Provider during the term of this Agreement shall remain the property of the Service Provider unless otherwise agreed upon in writing.
Client retains ownership of any pre-existing materials provided to the Service Provider for use in marketing campaigns.
Termination:
Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement.
In the event of termination, Client shall pay for all services provided up to the termination date.
Limitation of Liability:
Service Provider shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits or data.
In no event shall Service Provider’s liability exceed the total fees paid by Client under this Agreement.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Your Jurisdiction.
Any disputes arising under this Agreement shall be resolved through arbitration in Arbitration Location, in accordance with the rules of the American Arbitration Association.
Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
